By creating an account or using prorganizer.space, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not use our services.

You must be at least 18 years of age and have the legal authority to enter into these terms on behalf of yourself or the organization you represent.

prorganizer.space is a cloud-based finance and compliance management platform designed for Indian businesses. Our services include:

• Export invoicing with SOFTEX/FIRC/FEMA compliance tracking
• Expense and vendor management
• Double-entry accounting
• Payroll processing with TDS compliance
• Director loans and DPT-3 tracking
• Compliance calendar management
• Financial reporting
• Document management
• AI-powered compliance assistance

We reserve the right to modify, suspend, or discontinue any aspect of the service at any time with reasonable notice.

To use our services, you must create an account with accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring that your account information remains current

You may not share your account credentials or allow multiple individuals to use a single seat. Each user must have their own seat (Owner, Admin, Accountant, or Viewer).

You agree not to:

• Use the service for any unlawful purpose
• Upload false, misleading, or fraudulent financial data
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the service
• Reverse engineer or decompile any part of the service
• Use the service to store or transmit malware
• Resell or redistribute the service without authorization
• Use automated tools to scrape or collect data

Violation of these terms may result in immediate suspension or termination of your account.

Our pricing is based on a per-seat model:

All prices are in Indian Rupees (INR) and exclude Goods and Services Tax (GST) at 18%. Payments are due at the beginning of each billing period.

Our Rights: prorganizer.space, including its software, design, logos, and documentation, is owned by us and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive license to use the service as permitted by these terms.

Your Data: You retain all rights to the data you upload to the service. By using our service, you grant us a limited license to process, store, and display your data solely for the purpose of providing the service.

Your privacy is important to us. Our collection, use, and protection of your data is governed by our Privacy Policy, which is incorporated into these terms by reference.

We implement industry-standard security measures to protect your data. However, no system is completely secure, and you acknowledge the inherent risks of transmitting data over the internet.

We do not warrant that:

• The service will be uninterrupted or error-free
• The service will meet your specific requirements
• The results obtained will be accurate or reliable

The AI Assistant provides general guidance only and should not be relied upon as professional advice. Always verify AI-generated information with authoritative sources.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid for the service in the 12 months preceding the claim
• We are not liable for any penalties, fines, or losses arising from compliance failures, even if caused by service errors

Some jurisdictions do not allow limitations on liability, so these limitations may not apply to you.

By You: You may terminate your account at any time through the account settings or by contacting support. Upon termination, you will retain access until the end of your billing period.

By Us: We may suspend or terminate your account if:

• You violate these terms
• You fail to pay fees when due
• Required to do so by law
• We cease to offer the service

Data Export: You may export your data at any time. Upon termination, we will retain your data for 30 days, after which it will be permanently deleted.

These terms are governed by and construed in accordance with the laws of India. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in Kerala, India.

For disputes, we encourage you to first contact us to seek an amicable resolution before initiating legal proceedings.

We may update these terms from time to time. When we make significant changes, we will:

• Update the "Last updated" date at the top of this page
• Notify you via email or through the service
• Provide at least 30 days notice before changes take effect

Your continued use of the service after changes become effective constitutes acceptance of the new terms.
